Terms of service

These terms (the “Terms”) form a binding agreement between you, the customer (“Customer,” “you”), and Rich Software, CO d/b/a eSigKit (“eSigKit,” “we,” “us”). By creating an account, accessing the Service, or paying a subscription, you agree to these Terms. If you are signing on behalf of a company, you represent that you have authority to bind that company.
1. The Service
eSigKit is a software-as-a-service platform that lets businesses create, manage, and deploy email signatures across the company’s email infrastructure. The Service includes our APIs at api.esigkit.com, the admin dashboard at app.esigkit.com, our Chrome extension, and any documentation we publish.
2. Your account
- You must provide accurate signup information and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity performed under your account. Notify security@esigkit.com of any unauthorized use.
- You must be at least 18 years old to use the Service.
3. Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service to send spam or unsolicited communications.
- Reverse-engineer, decompile, or attempt to extract the source code.
- Bypass rate limits, plan-tier restrictions, or any security measure.
- Upload content that is illegal, infringing, or malicious.
- Use the Service in a manner that interferes with other customers’ use or that violates the AWS Acceptable Use Policy .
We may suspend or terminate accounts that violate this section. Material violations may be reported to law enforcement.
4. Subscriptions, billing, and refunds
- Subscriptions are billed via Stripe in USD on a recurring monthly or annual cycle, depending on the plan you select. Per-user prices are calculated based on the number of seats provisioned on your billing-cycle start date.
- Trials run for 14 days on Pro and Business plans. No card is required to start a trial. At trial end you must add a payment method to continue; otherwise your account converts to the Free plan.
- Failed payments enter a 14-day dunning grace period during which the account is read-only. After grace, the account is downgraded to Free.
- Annual subscriptions are non-refundable except where required by law. You may cancel an annual plan at any time; the cancellation takes effect at the end of the current paid term.
- Sales tax and EU VAT are calculated and collected by Stripe Tax based on your billing address.
5. Plan limits
Each plan has documented user, template, and feature limits. We enforce these limits programmatically. Attempts to create users or templates above your plan’s cap return an HTTP 402 with a message directing you to upgrade. If you downgrade to a plan whose user cap is below your current head-count, you have 14 days to remove users; after that, users above the cap become read-only until you upgrade or remove them.
6. Customer data
- You retain all rights in the data you upload (organization profile, brand assets, employee profiles, templates).
- You grant us a worldwide, royalty-free license to host, copy, transmit, and display that data solely as needed to operate the Service for you.
- We process Customer data per our Privacy Policy. Where you process personal data of EU/UK data subjects, our Data Processing Addendum applies and is incorporated by reference.
7. Service availability
We target 99.9% monthly availability for the API and 99.95% for the signature CDN. Maintenance windows, when scheduled, are announced at least 14 days in advance via email and an in-product banner. We do not currently offer a contractual SLA with credits for downtime; an enterprise SLA may be negotiated with eligible customers — contact us.
8. Confidentiality
Each party will treat the other’s non-public information as confidential and use it only as needed to fulfill these Terms. This obligation survives termination for two years.
9. Intellectual property
The Service, including the dashboard UI, API, documentation, and trade marks, is the property of eSigKit and is protected by intellectual-property laws. These Terms do not grant you any IP rights other than the limited right to use the Service as described.
10. Termination
- You may cancel your subscription at any time. Soft-deletion of your organization triggers the 30-day grace window and full purge described in our Privacy Policy §6.
- We may suspend or terminate the Service for material breach of these Terms with reasonable notice (or immediately for security or legal reasons).
- On termination, you can export your data via the GDPR Data Export endpoint within the grace window. We are not liable for data loss after the grace window.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ESIGKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ESIGKIT’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Indemnification
You will defend, indemnify, and hold harmless eSigKit from any third-party claim arising out of (a) your Customer data, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right. We will defend you against any third-party claim that the Service as provided infringes the third party’s IP rights, subject to standard exclusions.
14. Governing law
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. Venue lies exclusively in the state and federal courts located in Denver County, Colorado, and each party consents to personal jurisdiction there.
15. Changes
We will post material changes to these Terms on this page and notify administrators by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
